Terms of Service

IMPORTANT NOTICE: By accessing or using FindAlert, you agree to these Terms in full. These Terms include a binding arbitration clause and class action waiver (Section 17). If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you ("User", "you") and FindAlert ("we", "us", "our"), an independent online service operated by a single individual based in Japan.

By creating an account, accessing, or using FindAlert (the "Service"), you confirm that:

FindAlert is an automated tool that aggregates publicly available listing information from third-party online marketplaces (including but not limited to eBay, Reverb, Etsy, Discogs, and others) and delivers email notifications based on user-defined search criteria.

FindAlert is not affiliated with, endorsed by, sponsored by, or partnered with any third-party marketplace. All third-party trademarks, logos, and brand names are the property of their respective owners.

FindAlert delivers notifications on a best-effort, "as available" basis. We do not guarantee, and you acknowledge that:

Notification frequency, monthly caps, and feature availability depend on your plan and may be modified at any time without notice.

7. Third-Party Marketplaces and Listings

FindAlert displays publicly available data from third-party marketplaces. When you click any listing, you leave FindAlert and any subsequent transaction, communication, or relationship is solely between you and the third party.

We make no representation or warranty whatsoever regarding:

You assume all risk of using third-party marketplaces. We are not a party to any transaction and bear no responsibility for losses, fraud, disputes, or damages arising from such transactions.

8. Intellectual Property

The FindAlert name, logo, design, source code, original content, and all related intellectual property are owned by us. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service solely as permitted by these Terms.

You may not copy, modify, distribute, sell, or create derivative works without our prior written permission.

Listing data, photos, descriptions, and prices belong to their original sources. Display through our Service does not transfer any rights to you.

9. User Data and Privacy

Your use of the Service is governed by our Privacy Policy. By using FindAlert, you consent to our collection, use, and storage of personal data as described therein.

You retain ownership of search criteria and watch configurations you create. You grant us a worldwide, royalty-free license to process this data solely to operate the Service.

10. DISCLAIMERS

The Service is provided strictly on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranty of any kind.

To the maximum extent permitted by law, we disclaim all warranties, express, implied, statutory, or otherwise, including but not limited to:

No advice or information, oral or written, obtained from us creates any warranty not expressly stated in these Terms.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall FindAlert, its operator, affiliates, or licensors be liable for any:

Our total cumulative liability for any and all claims arising out of or relating to the Service shall not exceed the lesser of: (a) the total amount you paid us in the six (6) months immediately preceding the claim, or (b) USD 50.00.

This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. The Service is offered at a price that reflects this allocation of risk.

You agree to indemnify, defend, and hold harmless FindAlert, its operator, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

You may terminate your account at any time by deleting it through the Service. We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Service ceases immediately. Sections 4, 5, 7, 8, 10, 11, 12, 14, 15, 16, 17, and 18 shall survive any termination.

14. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part or feature thereof) at any time, with or without notice, and without liability to you or any third party.

15. Modifications to These Terms

We may revise these Terms at any time by posting an updated version. Material changes will be communicated via email or in-Service notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

You are responsible for reviewing these Terms periodically.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. Dispute Resolution and Class Action Waiver

17.1 Informal Resolution. Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at support@findalert.app. We will attempt to resolve the dispute within 60 days of receipt.

17.2 Binding Arbitration. If the dispute is not resolved informally, any claim arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration administered by the Japan Commercial Arbitration Association (JCAA) in Tokyo, Japan, in accordance with its rules then in effect. Judgment on the award may be entered in any court of competent jurisdiction.

17.3 Class Action Waiver. You and we agree that any claim shall be brought solely in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative action. You expressly waive any right to participate in a class action, class arbitration, or representative proceeding.

17.4 Time Limit. Any claim must be brought within one (1) year after the cause of action accrues, or it is permanently barred.
